1. Definitions
“App” means CliniSim, including software, content, and services provided within the app.
“Subscription” means Plus, Pro, Max, or Lifetime (or similarly named plans) available for purchase via Apple.
“Content” means scenarios, voice interactions, text, images, and other materials provided by us.
“User Content” means content or feedback you submit to us (e.g., messages, bug reports, suggestions).
2. The Service
CliniSim offers AI‑assisted voice scenarios, gamified learning, and subscription features to help you practise and track training progress. Features and content may vary by device, OS version, region, and plan, and may change over time.
3. Eligibility and Accounts
You must be legally capable of entering into a contract and comply with applicable laws. Sign‑in options include Apple, Google, or email/password. You must provide accurate information and keep your credentials confidential. You are responsible for activity under your account.
4. Educational and Training Disclaimer
CliniSim provides educational and training content only. It does not provide medical advice and must not be used to make clinical decisions, diagnose, or treat real patients. Always follow local clinical guidance and appropriate supervision.
5. Subscriptions, Trials, Renewals, and Cancellations
Billing and Merchant of Record: Subscriptions and in‑app purchases are processed by Apple (StoreKit). Your purchase contract and refunds are governed by Apple’s terms and policies.
Auto‑Renewal: Auto‑renewable subscriptions renew unless you cancel at least 24 hours before the end of the current period.
Trials: Trial eligibility, duration, and conversion are managed by Apple and may vary by region or campaign. If you don’t want to continue, cancel in Apple ID settings before the trial ends.
Cancellations and Refunds: Manage or cancel in Apple ID settings. We cannot cancel on your behalf. Refunds are handled by Apple except where required by law.
Entitlements: We receive only what we need to verify access (e.g., product identifiers, entitlement status). We do not receive card details.
Pricing and Plan Changes: We may change prices, features, plan names, benefits, packaging, and availability. If a change is material and adverse to your current paid subscription, Apple or we will provide reasonable notice. Changes take effect in the next billing period unless you cancel.
6. Usage Limits, Concurrency, and Fair Use
Demand‑Based Limits: We operate a demand‑based capacity model. To maintain service quality and prevent abuse, we may apply dynamic usage limits (for example: daily minutes, scenario credits, concurrent sessions, bandwidth, storage, or device limits) that can change over time based on overall platform demand and system health.
Queuing and Throttling: At peak times, we may introduce queuing, session start delays, rate limits, or temporary reductions in concurrency. You may experience wait times before starting voice scenarios or certain features.
Changes to Limits: We may update limits or algorithms. If a change materially reduces your paid tier’s core functionality, we will provide notice in‑app or by other reasonable means, and you may cancel before the change takes effect in your next billing period.
7. Availability, Service Levels, and Maintenance
No SLA: We do not guarantee uninterrupted or error‑free operation or any minimum availability, latency, throughput, or performance level.
Reasonable Efforts: We will use reasonable skill and care to provide and maintain the App, including capacity planning and incident response.
Demand‑Based Access: Access may be delayed, throttled, queued, or temporarily unavailable due to high demand, maintenance windows, security updates, platform changes outside our control, or other operational needs—even if you have a paid Subscription.
Maintenance and Updates: We may conduct maintenance, apply updates, or modify or discontinue features to maintain security and performance.
Remedies: If there is a prolonged outage or material degradation to your paid tier, you may (a) cancel before the next renewal; (b) seek a refund from Apple where supported by Apple’s policies; and (c) contact support@andromedaagents.com. At our discretion, we may extend subscriptions, issue service credits, or adjust usage limits.
8. Changes to the Service
We may add, remove, or modify features; run tests or phased rollouts; or discontinue parts of the service. Where a change is material and adverse to a paid subscription, we will provide reasonable notice.
9. Licence and Intellectual Property
Licence Grant: We grant you a personal, limited, revocable, non‑exclusive, non‑transferable licence to use the App for your own training.
Restrictions: You must not (and must not allow others to): copy, distribute, publicly display, or create derivative works from scenarios or content except as permitted in the App; extract, scrape, or create datasets from content or session data; reverse‑engineer, decompile, or circumvent security or access controls; use the App to train models or tools that replicate our content, voice interactions, or scenarios; use the App unlawfully or to provide clinical advice to real patients; interfere with or disrupt the service, networks, or other users.
Ownership: The App and all Content are owned by Andromeda Commerce or its licensors. No rights are granted except those expressly stated.
10. User Feedback and Submissions
If you submit ideas, suggestions, or feedback, you grant us a worldwide, perpetual, irrevocable, royalty‑free licence to use, modify, and incorporate them without obligation or attribution.
11. App Insights (Analytics and Session Replay)
We use App Insights to understand performance, debug and troubleshoot issues, manage capacity, and refine training journeys. Session replay may capture on‑screen activity within the App and typed text fields to reproduce issues reliably. You can turn App Insights off at any time: Settings ▸ Account ▸ Data Controls ▸ App Insights. See our Privacy Policy for details on personal data processing.
12. Acceptable Use
Do not misuse the App, including attempting unauthorised access, interfering with operation, using automated means to access features, or uploading malware. We may investigate suspected violations and cooperate with law enforcement as required.
13. Termination and Account Deletion
Your Rights: You can delete your account at any time in Settings ▸ Account ▸ Data Controls ▸ Delete Account. Deletion triggers backend processing and is irreversible once complete. Subscription cancellations must be done via Apple.
Our Rights: We may suspend or terminate your access where reasonably necessary, including for breach, misuse, suspected fraud or security risks, legal or regulatory reasons, failure to pay, or prolonged inactivity. We may remove or restrict content that violates these Terms.
Effect: On termination, your licence ends and access to content and progress ceases. We may retain minimal records required by law (e.g., transaction records).
14. Third‑Party Services
Apple, Google, and other sign‑in/payment providers are independent services with their own terms and privacy notices. Your use of those services is governed by their terms.
15. Liability (Consumers)
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any rights that cannot be excluded under UK consumer law.
Subject to the above, we are not liable for losses not caused by our breach; losses that were not reasonably foreseeable; or loss of profits, revenues, business, goodwill, or data. We will provide the App with reasonable skill and care but do not guarantee uninterrupted or error‑free operation.
16. Liability (Business Users)
To the fullest extent permitted by law: all implied conditions, warranties, and representations are excluded; and our total liability arising from or in connection with the App is limited to the greater of £100 or the amounts you paid to us for the App in the 12 months preceding the claim. Nothing in this section limits liability that cannot be limited under applicable law.
17. Indemnity
You agree to indemnify us against losses, costs, and liabilities arising from your breach of these Terms or unlawful use of the App, except to the extent we caused the loss.
18. Force Majeure
We are not responsible for delay or failure caused by events beyond our reasonable control, including internet or hosting failures, power outages, labour disputes, acts of God, or regulatory actions.
19. Changes to These Terms
We may update these Terms to reflect changes to the App or law. If changes are material, we will provide reasonable notice in‑app or by other appropriate means. Continued use after the effective date constitutes acceptance.
20. Governing Law, Jurisdiction, and Consumers Outside the UK
These Terms and any dispute or claim are governed by the laws of England & Wales. The courts of England & Wales have exclusive jurisdiction.
If you are a consumer outside the UK, you may also benefit from any mandatory consumer protections in your country of residence.
21. General
Severability: If any provision is found invalid or unenforceable, the remainder remains in effect.
Assignment: You may not assign these Terms without our consent. We may assign them in connection with a reorganisation, merger, or sale.
No Third‑Party Rights: No person other than you and us has rights to enforce these Terms.
Entire Agreement: These Terms, together with the Privacy Policy, form the entire agreement for your use of the App.
Waiver: A failure to enforce a provision is not a waiver of the right to do so later.
Survival: Provisions that by their nature should survive termination do so, including intellectual property, disclaimers, limitations of liability, indemnities, and governing law.
